Terms of Use

The Autotrader Platform is an Australian automotive website that enables vehicle dealers (Dealers or you) to sell Vehicles to Buyers.

This page sets out the terms of use (Terms) that you agree to when you sign a Subscription Order. The defined terms used in these Terms are explained in clause 2.

Your entire agreement with Autotrader when using the Autotrader Platform consists of:

• the Subscription Order;
• these Dealer Subscription Terms; and
• the Privacy Policy,

(Agreement).

If there is any inconsistency between the different parts of this Agreement, the above order of precedence will apply in descending order to the extent of the inconsistency.

1. DEFINED WORDS USED IN THESE TERMS

In these Terms, the following capitalised words and phrases have the following meaning:

1. Account: means your Dealer profile on the Autotrader Platform, and all associated Content.
2. Autotrader: means Gumtree AU Pty Ltd operating under the registered business name “Autotrader Group”.
3. Platforms: means:

1. the Autotrader website https://www.autotrader.com.au/; and/or
2. the CarsGuide website https://www.carsguide.com.au/; and/or
3. the Gumtree website https://www.gumtree.com.au/; and
4. any subdomains, sites or marketplace platform as provided from time to time including: all associated services Autotrader performs for you.

4. Buyer: means any User who uses the Autotrader Platform with an intent to purchase a Vehicle.
5. Business Day: means any day that is not a Saturday, Sunday, or public holiday in Sydney, New South Wales.
6. Content: has the meaning given in clause 11(a).
7. Consumer Law: means the Competition and Consumer Act 2010 (Cth) as amended from time to time, and all related regulations.
8. Corporations Act: means Corporations Act 2001 (Cth).
9. Dealer: means any vehicle dealer who uses the Autotrader Platform to offer to sell Vehicles.
10. External Services: has the meaning given in clause 12(a).
11. Fees: means the fees set out in clause 10.
12. GST: has the meaning given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
13. Gumtree: means Gumtree AU Pty Ltd ACN 616 996 840.
14. Gumtree Group: means Gumtree and its Related Body Corporates (as defined in the Corporations Act), including its wholly owned subsidiary Carsguide Autotrader Media Solutions ABN 37 150 757 574
15. Intellectual Property Rights: means all present and future rights, titles and interests in and to course content and materials, methodologies, assessments, inventions, know-how, patents, registered and unregistered trademarks, service marks, registered and unregistered designs, copyrights, circuit layouts, domain names, computer programs, confidential information, or trade secrets, however arising and throughout the world.
16. Late Payment Fee: means a fee of $29 per overdue invoice payable in accordance with clause 10(d)(ii).
17. Listing: means any post offering the sale of a Vehicle.
18. Minimum Commitment Period means:

1. for New Dealers, the period starting on the Start Date and ending 3 months after that date; and/or
2. for all Dealers, 3 months from any upgrade to your Subscription Services taking effect, in accordance with clause 6.

19. Posting Policies: means the Posting Policy available at https://help.gumtree.com.au/AU/articles/en_US/KB_Article/What-are-the-General-posting-rules-AU/, as amended from time to time.
20. Privacy Law: means the Privacy Act 1998 (Cth) as amended from time to time including the Australian Privacy Principles, and all related regulations.
21. Privacy Policy: means the Privacy Policy available at https://www.autotradergroup.com.au/wp-content/uploads/2024/03/AutotraderGroup_PrivacyPolicy_Nov21.pdf, as amended from time to time.
22. Rate Card: means the pricing for the types of packages for Subscription Services as advertised on the Autotrader Platform and/or a website operated by the Gumtree Group.
23. Reactivation Fee: means a fee of:

1. $150 if your Subscription Services requires no feed activation ; or
2. $250 if your Subscription Services requires a feed activation with your feed provider ,

payable in accordance with clause 10(a)

24. Subscription Order: means the most recent ‘Advertiser Agreement’issued by Autotrader and signed by you, for and behalf of a Dealer.
25. Subscription Services: means the services Autotrader provides to you in accordance with this Agreement.
26. Taxable Supply: has the meaning given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
27. User: means a Buyer or Dealer.
28. Vehicle: means Listings listed in the “Vehicles” category listed for sale on the Autotrader Platform.

2. SUBSCRIPTION Term

1. This Agreement starts from the following date:

1. for Dealers that have a current Subscription Order in place as at the date of these Terms, the date that is 30 days after the date Autotrader gives you notice of these Terms;
2. for Dealers that do not have a current Subscription Order in place as at the date of these Terms (New Dealers), the date that is the later of:

1. the ‘Price Term Start Date’ set out in the Subscription Order; and
2. the Business Day after Autotrader receives your signed Subscription Order,

(Start Date),

and will continue until the date that it is terminated in accordance with clause 17 (Termination).

3. AGREEMENT UPDATES

1. Autotrader may update any part of this Agreement from time to time (Replacement Terms) by giving you 30 days’ prior written notice. Except as stated elsewhere, such Replacement Terms will be effective 30 days from the date that Autotrader notifies you of such change (Change Notice Period).
2. If you do not agree to the Replacement Terms, you have the right to terminate by notifying Autotrader within the Change Notice Period, such termination to take effect from the Business Day after the end of the Change Notice Period.
3. If you continue to use the Autotrader Platform after notice of Replacement Terms, you will be taken to have agreed to this Agreement as updated.

4. YOUR RELATIONSHIP WITH AUTOTRADER AND BUYERS

1. This Agreement forms a binding contract between you and Autotrader.
2. You acknowledge and agree that Autotrader:

1. provides an introductory service as a passive conduit to facilitating the relationship between you and Buyers, through providing the Autotrader Platform; and
2. is in no way party to any contractual relationship formed between you and a Buyer in relation to any Listing.

3. It is your responsibility to ensure that you comply with all applicable laws, including the Consumer Laws and Privacy Laws (as applicable) while engaging with Buyers or Autotrader on the Autotrader Platform, including posting any Listing.

5. SUBSCRIPTION SERVICES

1. You must only access and use the Subscription Services in accordance with:

1. these Terms;
2. all applicable laws; and
3. Autotrader’s reasonable directions.

2. Autotrader will provide the Subscription Services in accordance with the package you have selected in your Subscription Order (or as updated in accordance with this Agreement). Autotrader may change or withdraw packages at its sole discretion.
3. You acknowledge and agree that Autotrader:

1. may edit or suppress Listings to ensure compliance with polices related to content displayed on the Autotrader Platform and/or websites operated by the Gumtree Group;
2. may distribute your Listings to websites operated by the Gumtree Group and other third parties unless you expressly request otherwise by email to support@autotradergroup.com.au;
3. to the extent permitted by law, is not liable for any errors, incorrect descriptions, misplacements, amendments or omissions or non-compliance with relevant Australian laws in relation to any Listing caused by or arising from information you provide Autotrader in relation to the Listing;
4. is not responsible for tracking the origin of a page view or enquiry for further information in response to a Listing;
5. may, in its sole discretion refuse to deliver a Lead to you; and
6. may, in its sole discretion, add sample images to your Listings if, when those Listings are created, you do not upload images to each Listing or your images do not comply with your obligations in clause 8.

4. To the extent permitted by law, Autotrader makes no representations or warranties to you as to:

1. the number of Leads that you will or may receive; or
2. that Listings you post will be published or distributed in connection with any External Services.

6. UPGRADES

1. You may request Autotrader to upgrade your Subscription Services at any time by:

1. providing written notice to support@autotradergroup.com.au; or
2. by phone to your Autotrader account manager,

(Upgrade).

2. If Autotrader agrees to your Upgrade, you will be required to sign a new Subscription Order, and the Upgrade will take effect from the date specified in the Subscription Order. The rest of this Agreement will continue to apply to your new Subscription Order.

7. DOWNGRADES

1. After the Minimum Commitment Period, you may elect to downgrade your Subscription Services at any time (Downgrade) by providing 30 days’ written notice (Downgrade Notice Period) by email to support@autotradergroup.com.au. The Downgrade Notice Period will end 30 days after the date of the notice.
2. A Downgrade will not take effect before the end of the Minimum Commitment Period and Autotrader may require a new Subscription Order to be generated and signed by you.
3. A Downgrade will take effect from

1. the date specified in the new Subscription Order; or
2. the date agreed by you and Autotrader in writing.

8. LISTING OBLIGATIONS

1. You must:

1. remove the relevant Listing immediately if a Vehicle is sold or withdrawn from sale;
2. ensure that the Listing description only includes information which describes the Vehicle, and does not include any information that is not relevant to the sale of the Vehicle including contact and/or personal information; and
3. ensure that the Listing is:

1. fully compliant with:

1. the Posting Policies;
2. the Consumer Laws and Privacy Laws (as applicable); and
3. any other applicable Australian laws relevant to auto trade dealership from time to time in the jurisdiction in which the Vehicle is located;

2. accurate, comprehensive and not misleading, including:

1. describing or showing in images any defects that may limit or otherwise effect the Vehicle’s fitness for purpose or factory functionality; and
2. not claiming that the Vehicle has any particular features or capacity that it does not have or no longer has.

2. In respect of Vehicle photographs you provide to Autotrader, you must ensure that:

1. the photographs accurately represent the advertised Vehicle;
2. the photographs are free from borders, watermarks, dealership information or contact details, advertising material or any other branding material which identifies the location of the Vehicle or your dealership(s);
3. no manufacturer program content (except as Autotrader may approve in writing) appears in the photographs; and
4. photographs are provided in acceptable formats.

9. LEAD OBLIGATIONS

All Leads

3. You must ensure that all Leads are handled promptly and in a professional manner.
4. You must not sell, assign, or otherwise provide (whether electronically or otherwise) any Lead, or information relating to any Lead, to any third-party.
5. If Autotrader allocates you a phone number for your Listing(s), this clause 9(c) will apply:

1. phone Leads will be supplied to you through carriers nominated by Autotrader from time to time (Carrier);
2. Autotrader may allocate to you, and/or a Listing, such phone number(s) in its sole discretion;
3. all Leads will be allocated on a non-exclusive basis;
4. you acknowledge that all phone numbers allocated to you and/or your Listings are owned or licensed to Autotrader and that you have no proprietary interest other than as licensee;
5. Autotrader may withdraw and/or substitute any phone numbers allocated to you and/or your Listings in its sole discretion without notice or liability to you;
6. you must nominate a phone number for redirection of phone calls;
7. you consent to:

1. Autotrader providing the Carrier with such information as it considers necessary to provide phone Leads to you; and
2. the Carrier providing to Autotrader information in relation to the use of phone Leads including, call source, account information and call event records.

8. you acknowledge and agree that:

1. Autotrader may rely on information supplied by the Carrier in relation to the use of phone Leads;
2. in the event of cancellation of this Agreement, the phone numbers allocated to you and/or your Listings will be returned to the pool and re-allocated;
3. supply is dependent upon the Carrier and Autotrader is not liable for any failure by the Carrier to supply phone Leads;
4. Autotrader may record phone Leads and your calls with phone Leads;
5. you must inform your employees, contractors and representatives (where appropriate) that their involvement in calls with phone Leads will be recorded; and
6. where Autotrader supplies such recordings to you, you must keep the recordings secure, not disclose their content to third parties and must only use the recordings to conclude a sale of the relevant Vehicle to the relevant caller or for training purposes.

10. PAYMENT OF FEES

1. Autotrader may charge you the following types of fees (without limitation):

Type of Fee (Fee)	Description
Subscription Fee	This monthly fee entitles you to post a set number of Listings per month (Package Limit) on the Autotrader Platform or other websites operated by the Gumtree Group.
Per Listing Fee(s)	The fee is for each additional Listing that you post in that month that exceed, or otherwise does not comply with, the Package Limit.
Feature Fee(s)	This fee is payable if you request Autotrader, in your Subscription Order or by written request, to implement additional features on your Listing.
Reactivation Fee(s)	This fee may be payable in Autotrader’s sole discretion if, after Autotrader suspends the Subscription Services in accordance with clause 17(c)(i), and Autotrader decides to end the suspension and reactivate the Subscription Services. The amount of the Reactivation Fee will depend on the type of Subscription Services you subscribe for.
Late Payment Fee(s)	This fee is payable if you do not pay your invoice in accordance with clause 10(d)(ii).
Additional Fees	Autotrader may introduce additional fees at any time through its pricing schedule (Pricing Schedule) (including by displaying such fees to you on the Autotrader Platform),

(each a Fee).

2. The Fees will be calculated in accordance with the Rate Card included on your Subscription Order or as amended from time to time in accordance with clause 3.
3. All Fees and any other amounts payable under clause 10(a):

1. unless otherwise stated, will be exclusive of GST.  If any GST is payable in relation to a Taxable Supply by any party under these Terms, the amount payable for that Taxable Supply is the amount for that Taxable Supply plus GST;
2. must be paid by the date stipulated in the invoice, or in any event 15 days of the invoice date;
3. must be paid in accordance with the instructions on the invoice (which may include paying through a payments portal or using a third-party payment provider); and
4. will be non-refundable (unless there is a major failure with the Autotrader Platform).

4. If you do not pay your invoice on time, Autotrader reserves the right to:

1. contact you by telephone, email, SMS or internet application to request payment;
2. charge a Late Payment Fee if you do not pay your invoice within 14 days of the due date;
3. suspend and/or terminate the Subscription Services and/or this Agreement in accordance with clause 17(c)(i);
4. refer your overdue debt to a third-party debt collection agency, at which point you will be liable to pay to Autotrader the overdue Fees as well as the costs of the third-party debt collector, and a credit default may be applied against you.

5. You consent to Autotrader conducting any credit checks that it deems necessary to assess your suitability for the Subscription Services.

11. YOUR CONTENT

Ownership of Content & Related IP

6. You acknowledge that all Listings, data, text, messages and other materials, whether publicly posted or privately transmitted, you share through the Autotrader Platform or otherwise with Autotrader or a Buyer (Content) is immediately assigned to and owned by Autotrader. Autotrader may, in its discretion, use the Content in any manner which is not inconsistent with the Privacy Policy, including sharing the Content with third parties.
7. If you share any Content on the Autotrader Platform which contains any Intellectual Property Rights, for example an image, you represent and warrant that you are either the owner of those Intellectual Property Rights or are licensed to share that Content both on the Autotrader Platform and publicly for commercial purposes. You indemnify Autotrader for any claims that any Content you post in a Listing, or your dealings with any Vehicles, infringes any third-party Intellectual Property Rights.

Responsibility for Content

8. In addition, you must not submit, post or display any content that:

1. you do not have legally valid permission, right or license to use;
2. is defamatory, objectionable, offensive, unlawful, deceptive or harmful;
3. is personal, private or confidential information belonging to others unless you have obtained legally valid consent;
4. requests personal information from a minor;
5. impersonates or misrepresents your affiliation with another person or entity (including Autotrader);
6. transmits spam, including unauthorised advertising or promotional materials; or
7. is illegal, fraudulent, or manipulative.

9. You agree that Autotrader has the right to disclose your identity to any other Dealer or third-party who is claiming that any of your Content constitutes a violation of their intellectual property rights, or of their right to privacy.
10. You must provide any information Autotrader requests through the Autotrader Platform or otherwise for the purposes of complying with any federal, state, or local requirements. The accuracy and completeness of the Content is your sole responsibility.

12. EXTERNAL SERVICES

1. Autotrader may enable access to third-party applications and services and/or distribute your Listings to a third-party website that displays online automotive inventory listings to publish and/or distribute your Listing unless you expressly request otherwise in writing (External Services).
2. If Autotrader performs External Services, you agree:

1. Autotrader provides an introductory service as a passive conduit to facilitating the relationship between you and the respective third-party website and/or its vendor and Autotrader is in no way party to any contractual relationship formed for any External Services;
2. you must comply with the terms of use applicable to the External Services;
3. Autotrader does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available in connection with the External Services;
4. Autotrader has no responsibility or control regarding the availability, selection, performance, or use of the External Services;
5. information and data collected by a third-party website that publishes or distributes your Listing is governed by that third-party website’s terms;
6. Autotrader does not guarantee the accuracy, integrity or quality of the External Services, and will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any External Services;
7. charges may apply to your use of the External Services and Autotrader assumes no responsibility for the transaction of funds or the actions or identity of any transfer recipient or sender nor does Autotrader have an obligation to provide a refund or repayment for whatever reason of any amounts paid by you to any other third-party for External Services; and
8. Autotrader may suspend, remove, disable or impose access restrictions or limits on any External Services, at any time without notice or liability to you.

13. PRIVACY & BUYER COMMUNICATIONS

1. Autotrader will abide by, and you agree to, Autotrader’s Privacy Policy which can be accessed via the link at the start of these Terms and may be updated from time to time by written notice to you.
2. You must not share any Content with any Buyer, including in any Listing, which is not necessary to understand or discuss the Listing. Any information you provide to a Buyer is done so at your own risk.
3. If Autotrader becomes aware that you are misusing or distributing information of a Buyer, Autotrader will investigate and terminate your Account.
4. Without limiting the Privacy Policy, which will prevail to the extent of any inconsistency with this clause, you agree that Autotrader may monitor, use, access, store, and disclose your Content, including your communications with any Buyer:

1. for the purpose of providing the Autotrader Platform to you in an efficient manner;
2. for the purpose of ensuring your compliance with this Agreement;
3. for the purpose of properly administering your Account in accordance with the standard operating procedures of Autotrader or its affiliated or subsidiary companies or agents; and
4. if required to do so by law or in the good faith belief that any such access, preservation or disclosure is reasonably necessary to:

1. comply with legal process;
2. enforce the Terms;
3. respond to claims that any Content violates the rights of third-parties;
4. respond to your requests for customer service; or
5. protect the rights, property, or personal safety of Autotrader, its Users and the public at large.

5. You acknowledge that Autotrader enters into partnerships with external organisations and companies who, on occasion will convey their messages or offerings (for commercial purposes or otherwise) to you in the form of advertisements via its communications, web, mobile or social media platforms.
6. Retention and deletion of Account / Content – Autotrader may retain your Content only for such period as it reasonably considers necessary for its legitimate business purposes, including legal reasons.

14. PLATFORM LICENCE AND INTELLECTUAL PROPERTY RESTRICTIONS

1. While ever you continue to meet your obligations under this Agreement, Autotrader grants to you a non-exclusive, non-transferable, royalty-free, revocable licence (Licence) to use the Autotrader Platform for the sole purpose of posting Listings to sell Vehicles.
2. You acknowledge and agree that the Autotrader Platform contains Intellectual Property Rights and confidential information that is owned by Autotrader in accordance with applicable laws and registration bodies, including the underlying source code. Nothing in this Agreement transfers any Intellectual Property Rights in the Autotrader Platform to you. Any use of the Autotrader Platform by you in breach of the Licence will be a breach of Autotrader’s Intellectual Property Rights for which you will be liable to Autotrader in damages and consequential damages.
3. You must not:

1. copy, scrape or data-mine the whole or any part of the Autotrader Platform, including any screen or data scraping or other methods of taking any content from the Autotrader Platform or any API;
2. manipulate or take advantage of any vulnerability in the Autotrader Platform for your own commercial gain or any other purpose;
3. modify, merge, integrate or combine the whole or any part of the Autotrader Platform or system with any other software, program or application;
4. attempt to assign, transfer, distribute, sell, lease, rent, sub-license, charge or otherwise deal in or encumber the Autotrader Platform;
5. adapt, translate, reverse engineer, decompile or disassemble the whole or any part of the Autotrader Platform; or
6. use any automated tools, hacks, scripts, programs or applications that are designed to access any data, modify or interfere with the functioning of the Autotrader Platform, or interact with communications from the Autotrader Platform, for any purpose.

4. You agree that any advertisements presented to you through the Autotrader Platform are protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws.

15. DISCLAIMERS

1. Autotrader makes no warranty or representation that:

1. the Autotrader Platform will meet your requirements;
2. the Autotrader Platform will be uninterrupted, timely, secure, or error-free;
3. the quality of any products, services, information, or other material purchased or obtained by you through Autotrader will meet your expectations; or
4. any errors in the underlying source code will be corrected.

2. Any material downloaded or otherwise obtained through the use of the Autotrader Platform is done at your own discretion and risk that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

16. DISPUTE RESOLUTION

1. Any party who claims to have a dispute against another party must issue a Dispute Notice.
2. Within 5 Business Days after receiving the Dispute Notice, the parties must meet to resolve the dispute.  Each party will be represented by a person having authority to agree to such resolution or methods.  All aspects of the meetings will be confidential and without prejudice to the parties’ rights, obligations and liabilities.
3. If the parties do not resolve the dispute within 30 days (or such longer period the parties may agree in writing) after the Dispute Notice, then either party may initiate court proceedings in relation to the dispute.
4. Despite the existence of a dispute, each party must continue to perform its obligations under the agreement unless those obligations are the subject of the dispute.        

17. TERMINATION

1. You may not terminate this Agreement during the Minimum Commitment Period. You acknowledge and agree that this requirement is necessary to protect Autotrader’s legitimate business interests given the costs of onboarding new dealers to the Autotrader Platform.
2. After the Minimum Commitment Period, you may terminate this Agreement on 30 days’ written notice by email to support@autotradergroup.com.au.
3. Autotrader may suspend and/or terminate this Agreement:

1. on 30 days’ prior written notice to you without reason; or
2. immediately on written notice to you if you are in material breach of this Agreement or any agreement you have with a member of the Gumtree Group.

4. If Autotrader suspends and/or terminates this Agreement in accordance with:

1. clause 17(c)(i), you agree that your sole remedy will be Autotrader’s provision of the Subscription Services up until the date of suspension and/or termination (with Fees payable up to that date only); or
2. clause 17(c)(ii), you will not be entitled to a refund of, or a pro-rated discount to, any Fees due in respect of the month of suspension and/or termination.

5. On termination of this Agreement, you must:

1. pay all outstanding amounts to Autotrader by the date stipulated in its final invoice, or, if no date is stipulated, within 15 days of the date of its final invoice;
2. cease using the Subscription Services; and
3. comply with any additional third-party terms applicable to the External Services as described in clause 12.

18. LIABILITY AND INDEMNITY OF AUTOTRADER

1. To the maximum extent permitted by law, under no circumstances will Autotrader be liable to you for any incidental, special or consequential loss or damages, or damages for loss of data, damage to reputation, business or business opportunity, goodwill, anticipated savings, profits or revenue arising under or in connection with the Autotrader Platform, this Agreement or any Listings, Vehicles or incidental activities (except to the extent this liability cannot be excluded under the Competition and Consumer Act 2010 (Cth)).
2. If Autotrader is liable to you (whether in contract, indemnity, tort, statute or equity), you acknowledge and agree that Autotrader’s liability in aggregate for all claims by you or third parties who encounter related activities or goods through you, for loss or damage of any kind arising from or relating in any way to this Agreement, the Autotrader Platform or any Listing or Vehicles, to the amount paid to Autotrader by you for use of the Autotrader Platform in the 12 months preceding the event giving rise to the liability, and if that amount is less than $100, then $100.
3. You indemnify Autotrader in respect of all liability for any claim(s) by any Buyer or person (including any third-party who encounters the Listing, Vehicles through you or the initial User) arising from your or your representatives’:

1. breach of any third-party property rights or intellectual property rights;
2. breach of any term of this Agreement;
3. breach of any applicable law (including the Consumer Laws or Privacy Laws);
4. use of the Autotrader Platform; or
5. negligent, wilful, fraudulent or criminal act or omission,

except to the extent Autotrader caused or contributed to any such claims through its own wilfully reckless or negligent act or omission and Autotrader ought reasonably to be liable for a portion of the claim (in which case Autotrader’s liability is capped in accordance with clause 18(b)). The parties agree that Autotrader provides the Autotrader Platform (as is, and as adjusted from time to time) based on the relationship structure in clause 4, and Autotrader providing the Autotrader Platform (as is, and as adjusted from time to time) will not be considered a cause or contribution of Autotrader to any claim.

19. MISCELLANEOUS INTERPRETATION PROVISIONS

1. This Agreement is to be interpreted in accordance with the laws of New South Wales and the parties submit to the exclusive jurisdiction of New South Wales. The parties submit to the exclusive jurisdiction of the courts of New South Wales and competent courts of appeal from them.
2. If any clause of this Agreement is unenforceable at law, that clause is to be severed to the narrowest extent possible to overcome the enforceability issue, and the other terms of this Agreement will continue to apply with full force and effect.
3. Any failure of a party to enforce a right under this Agreement will not constitute a waiver of that party’s right to exercise that right in future.
4. Unless the context requires otherwise, reference to:

1. one gender includes the others;
2. the singular includes the plural and the plural includes the singular;
3. a person includes a body corporate;
4. a party includes the party’s executors, administrators, successors and permitted assigns;
5. ‘dollars’ means Australian dollars unless otherwise stated.

5. “Including” and similar expressions are not words of limitation.
6. Where a word or expression is given a particular meaning, other parts of speech and grammatical forms of that word or expression have a corresponding meaning.
